TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a binding agreement between Priya Holistic Wellness LLC (“PHW”, “we”, “us”, or “our”, registered in the United Arab Emirates) and any person (“you” or “User”) who accesses www.priyaholisticwellness.com or its sub‑domains (collectively, the “Site”), purchases an online course or other offering hosted on Kajabi (the “Platform”), or otherwise uses our services (the “Services”).

BY ACCESSING THE SITE, PURCHASING A COURSE, OR CLICKING “I AGREE,” YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT ALL TERMS, DO NOT USE THE SITE OR SERVICES

1. ELIGIBILITY & ACCOUNT SECURITY

1.1 You must (a) be at least 18 years old or the age of majority in your jurisdiction (whichever is higher), and (b) possess the legal right and authority to enter into these Terms. If you permit a minor to use your account, you remain fully responsible for all actions taken.

11.2 You agree to provide accurate, current, and complete information during registration and to keep such information updated. You are solely responsible for safeguarding your login credentials and for any activity that occurs under your account.

2. SCOPE OF SERVICES

2.1 PHW provides educational wellness content delivered digitally via Kajabi, including videos, PDFs, live or recorded coaching calls, and related materials (“Course Content”).

2.2 All Course Content is licensed, not sold. Subject to your timely payment, PHW grants you a limited, non‑exclusive, non‑transferable licence to access the Course Content for your personal, non‑commercial use. Sharing, reselling, or making Course Content publicly available is strictly prohibited.

3. ORDERS, PRICING & PAYMENT

3.1 Prices are listed in UAE dirhams (AED) unless stated otherwise, and may change without prior notice. The price in effect at the time of checkout applies.

3.2 Payment is processed securely by Stripe on behalf of Kajabi. We do not store full credit‑card numbers. By submitting payment details, you authorise Stripe to charge the total amount.

3.3 PHW reserves the right to refuse, cancel, or limit any order at its sole discretion (e.g., suspected fraud, violation of these Terms, or legal restrictions).

4. REFUNDS & CANCELLATIONS

Because our products are digital and delivered instantly, all sales are final. However, if you experience technical difficulties preventing access to the Course Content, contact [email protected] within 48 hours of purchase; we will make commercially reasonable efforts to assist or, at our discretion, issue a partial or full refund.

5. USER CONDUCT

You agree not to:

• Use the Site or Course Content for any unlawful purpose or in breach of UAE, EU, UK, or other applicable law;
• Upload or transmit malware, unsolicited promotions, or any content that infringes third‑party rights;
• Copy, record, distribute, reverse‑engineer, or otherwise exploit the Course Content beyond the licence granted;
• Impersonate any person or misrepresent your affiliation with PHW.

Breach of this Section may result in immediate termination of access without refund and potential legal action.

6. INTELLECTUAL PROPERTY

All Site content, Course Content, trademarks, and logos are the exclusive property of PHW or its licensors. Except for the limited licence in Section 2.2, no right, title, or interest is transferred to you.

7. THIRD‑PARTY TOOLS & LINKS

The Site may integrate third‑party tools (e.g., Calendly) or links to external websites. Such tools and sites are provided “as is” without warranties. Use them at your sole risk, and review the applicable third‑party terms.

8. DISCLAIMERS

8.1 Wellness Disclaimer. Course Content is for educational purposes only and is not medical advice. Consult a qualified healthcare professional before implementing any lifestyle or nutrition changes, especially if pregnant, nursing, under 18, or with existing conditions.

8.2 No Guarantees. PHW makes no representations that the Course Content will produce specific health outcomes.

8.3 Service Availability. We strive for uninterrupted access but do not guarantee the Site or Platform will be error‑free or continuously available.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by UAE law, PHW, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or related to the Site, Course Content, or these Terms, even if advised of the possibility. PHW’s total aggregate liability shall not exceed the amount you paid for the Course giving rise to the claim.

10. INDEMNIFICATION

You agree to indemnify and hold harmless PHW and its affiliates from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your misuse of the Site or Course Content, (b) your breach of these Terms, or (c) your violation of any law or third‑party right.

11. TERMINATION

PHW may suspend or terminate your access at any time, with or without notice, for breach of these Terms or for conduct that PHW believes is harmful to other users, PHW, or third parties. Sections 6–11 shall survive termination.

12. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and any dispute arising hereunder shall be governed by the laws of the United Arab Emirates. You agree to submit to the exclusive jurisdiction of the courts of Dubai, UAE. PHW nevertheless reserves the right to seek injunctive relief in any competent court.

13. AMENDMENTS

PHW may modify these Terms from time to time. Material changes will be announced on the Site or via e‑mail. Continued use after changes become effective constitutes acceptance of the revised Terms.

14. ENTIRE AGREEMENT & SEVERABILITY

These Terms, together with our Privacy Policy and any supplemental agreements expressly referenced herein, constitute the entire agreement between you and PHW. If any provision is deemed unenforceable, the remainder shall remain in full force and effect.
